AFFINITI BILL PAY BY CARD FINANCING TERMS

Effective Date: August 10, 2026

These Bill Pay by Card Terms (these “BPC Terms”) are an agreement between the business entity that maintains the Affiniti platform account (the “Company,” “You,” or “your,” which includes each person authorized to access the Affiniti platform on the Company’s behalf) and Affiniti Finance, Inc. (“Affiniti,” “we,” or “us”) and supplement the Affiniti Terms of Use (the “Platform Terms”). These BPC Terms, together with the transaction-specific disclosures presented to You on the Affiniti platform before You confirm each BPC Transaction, including the principal amount of the Loan (as defined below), the Access Fee in both percentage and dollar terms, and the Repayment Date (collectively, the “Transaction Summary”), constitute a binding commercial loan agreement between the Company and Affiniti with respect to each BPC Transaction. Each BPC Transaction is a closed-end commercial loan made by Affiniti to the Company (each, a “Loan”). These BPC Terms also supplement the Payments Terms addendum to the Platform Terms (the “Payment Terms”). Each BPC Transaction includes a payment of the Loan proceeds from your Deposit Account to your vendor or payee (the “Vendor Payment”). Each Vendor Payment is a “Bill Payment” made through the “Payment Services” (each as defined in the Payment Terms), and the Payment Terms apply to each Vendor Payment except as expressly modified by these BPC Terms. Payments You make using Bill Pay by Card are made from your business deposit account (your “Deposit Account”), which is provided by our partner bank and governed by your Business Deposit Account Agreement (the “Deposit Agreement”). Your Deposit Account is the account referred to as your “Affiniti Checking Account” in the Payment Terms. Capitalized terms used but not defined in these BPC Terms have the meanings given to them in the Platform Terms, the Payment Terms, or the Deposit Agreement, as applicable. In the event of any conflict between these BPC Terms and the Platform Terms or the Payment Terms, these BPC Terms control with respect to Bill Pay by Card, except that the limitation of liability and dispute resolution provisions of the Platform Terms control in all cases.

How Bill Pay by Card Works (Summary). In brief: (1) You select a vendor bill to pay within your Affiniti dashboard and confirm the transaction; (2) Affiniti lends the Company the invoice amount, and the funds are used to pay your vendor through the platform; (3) You pay Affiniti the Access Fee, shown in dollars and as a percentage before You confirm; (4) Affiniti automatically collects repayment of the Loan from your Deposit Account on your next autopay date; (5) the individual who accepts the transaction personally guarantees repayment; and (6) You may earn Reward Points and receive the Enhanced Services described below. The loan, fee, repayment, and guarantee terms are in Sections 2, 6, 7, and 15; the rewards and service features are in Sections 8 and 9. This summary is for your convenience only, and the full terms below control.

THIS CONTAINS A LOAN PRODUCT. Each Bill Pay by Card transaction is a commercial loan from Affiniti Finance, Inc. to your business. Affiniti lends your business the amount of your applicable bill payment and pays your vendor with those funds, and your business must repay the full loan amount to Affiniti, plus the Access Fee, on the Repayment Date shown to you before you confirm. Repayment is collected automatically from your business checking account, and the individual who accepts the transaction personally guarantees repayment.

1. Overview.

‍Bill Pay by Card is an optional, per transaction service through which Affiniti finances your vendor bill payments. Standard bill pay remains available to You at no per transaction charge. When You elect Bill Pay by Card for a transaction (an “BPC Transaction”), Affiniti makes a commercial loan to the Company in the principal amount of the vendor invoice You have selected for payment, and You pay the Access Fee described in Section 7 and receive the Affiniti Reward Points (“Reward Points”) described in Section 8 and the Enhanced Services described in Section 9, in each case as in effect at the time of your transaction. Bill Pay by Card is a commercial financing product provided solely by Affiniti: Affiniti lends its own funds to the Company, the Loan proceeds are credited to your Deposit Account, and the corresponding Vendor Payment is made from your Deposit Account through the platform. Each BPC Transaction has two parts: the Loan (Affiniti’s extension of credit to the Company) and the Vendor Payment (the transfer of the Loan proceeds from your Deposit Account to your vendor). Where a provision of these BPC Terms applies to only one part of the transaction, it says so. 

2. Extension of Commercial Credit by Affiniti; Use of Proceeds.

‍Each BPC Transaction is a commercial loan made by Affiniti to the Company from Affiniti’s own funds. Affiniti is the sole lender of record for each Loan and funds each Loan from accounts owned by Affiniti. On the date Affiniti disburses a Loan (the “Disbursement Date”), Affiniti will credit the Loan proceeds to your Deposit Account in the principal amount of the BPC Transaction. Loan proceeds are advanced solely to pay the specific Qualifying Invoice (as defined in Section 5) identified in the Transaction Summary. You agree that Loan proceeds will be used exclusively to pay that Qualifying Invoice through the platform and for no other purpose, and You may not withdraw, transfer, or apply Loan proceeds to any other use. You authorize Affiniti to initiate the corresponding Vendor Payment from your Deposit Account promptly following disbursement on your behalf. Your obligation to repay each Loan and to pay each Access Fee is absolute and unconditional, is not subject to setoff, deduction, recoupment, or counterclaim, and is not affected by any dispute You may have with any vendor or payee or by the quality or performance of any goods or services paid for with Loan proceeds.

3. Eligibility.

‍To use Bill Pay by Card, your Deposit Account and your Affiniti platform account must be open and in good standing. Bill Pay by Card is an optional service that is not available to all customers. Eligibility for and continued access to Bill Pay by Card is determined by Affiniti in its sole discretion based on factors that may include your account history, platform usage, and such other risk based criteria as we may establish from time to time. Eligibility determinations will not be based on any characteristic prohibited by applicable state or federal law. We may establish, and may change at any time upon notice to You, a maximum aggregate principal amount of Loans that may be outstanding for the Company at any time (your “Credit Limit”). If we decline your request to use Bill Pay by Card for any transaction, we will notify You of the declination in writing, which may be by email or platform notification, stating the principal reason or reasons for the declination (for example, that your Credit Limit has been reached).

4. Acceptance Required for Each Transaction. These BPC Terms apply separately to each BPC Transaction. You must review and accept these BPC Terms each time You elect to use Bill Pay by Card, and your acceptance applies to the specific transaction for which it is given. Your acceptance of these BPC Terms together with the Transaction Summary for a transaction constitutes the written loan agreement for that BPC Transaction, including your written agreement to pay the Access Fee and to repay the Loan on the Repayment Date. Each acceptance forms a separate, standalone loan contract between the Company and Affiniti covering only that BPC Transaction; no acceptance obligates Affiniti to make any future Loan or the Company to request one. An Event of Default with respect to any Loan is, however, an Event of Default with respect to all outstanding Loans, as described in Section 17. Acceptance also binds the accepting individual personally as Guarantor as described in Section 15, which that individual should read before accepting. If You do not accept these BPC Terms for a transaction, You may still make the payment using standard bill pay, without the Access Fee, without the Reward Points and Enhanced Services described in Sections 8 and 9, and without any Loan being made. By accepting these BPC Terms for a transaction, You agree that these BPC Terms supplement and, where inconsistent, amend the Payment Terms with respect to that transaction. You agree that clicking or tapping to accept these BPC Terms, or taking an equivalent action on the platform, constitutes your electronic signature to a loan agreement, and that these BPC Terms, the Transaction Summary, and related records and disclosures may be provided, signed, and retained electronically with the same force and effect as a handwritten signature, under the federal Electronic Signatures in Global and National Commerce Act and applicable state electronic transactions laws. The Company is responsible for controlling who has access to its platform account and credentials. Any BPC Transaction initiated or accepted through the Company’s platform account using valid credentials is deemed authorized by and binding on the Company, and the associated Loan and Access Fee are owed by the Company, even if the Company later claims that the individual acted without internal authority or that the access was unauthorized or resulted from compromised credentials, in each case to the fullest extent permitted by applicable law.

5. How to Initiate a BPC Transaction.

‍You must initiate each BPC Transaction, for both immediate and scheduled transactions, through the Affiniti platform. You will be required to provide details of the vendor or payee, including the payee’s bank account information where applicable, and to match each payment to a Qualifying Invoice (as defined below). Before You confirm each BPC Transaction, You will have the opportunity to review the principal amount of the Loan, the Access Fee (in both percentage and dollar terms), the Repayment Date, the total amount payable, the Reward Points You will receive, and the payment method, together with any disclosures required by applicable state commercial financing disclosure laws. For each BPC Transaction, You must provide a copy of a bona fide invoice or other written evidence of an existing payment obligation of the Company to the designated vendor or payee (a “Qualifying Invoice”), and no BPC Transaction will be processed without a Qualifying Invoice. Affiniti may, but is not obligated to, verify any Qualifying Invoice or any payment information, and may decline any transaction whose supporting documentation Affiniti cannot verify to its satisfaction. Affiniti’s processing of a BPC Transaction is not a representation that Affiniti has verified the accuracy of any payment or invoice information, and the notices regarding payment information in Section 2 of the Payment Terms apply to each BPC Transaction.

6. Payment Authorization; Irrevocability.

‍By confirming a BPC Transaction, You: (a) agree to borrow the principal amount set forth in the Transaction Summary and authorize Affiniti to disburse the Loan proceeds to your Deposit Account; (b) authorize and direct Affiniti, acting on your behalf and as your authorized agent, to initiate an ACH credit entry, wire transfer, or other electronic funds transfer (as selected by you when you initiated the BPC Transaction) from your Deposit Account to the account of the designated vendor or payee in the amount You specified (the Vendor Payment); and (c) authorize Affiniti to debit your Deposit Account for the Access Fee upon disbursement and for the principal amount of the Loan on the Repayment Date. You acknowledge that Vendor Payments made by ACH credit entry or wire transfer, once initiated, are irrevocable and cannot be recalled, reversed, or stopped by You, Affiniti, or any bank, except as may be permitted under the NACHA Operating Rules or applicable wire transfer rules. If any Vendor Payment is returned, rejected, or fails to settle for any reason, we may re-initiate the Vendor Payment or apply the returned funds to repay the associated Loan, at our discretion. The return or failure of a Vendor Payment affects only the Vendor Payment: it does not cancel the associated Loan or the Access Fee, and any returned funds credited to your Deposit Account remain Loan proceeds subject to the use restrictions in Section 2 until the Loan is repaid. This authorization may not be revoked after You have confirmed the transaction, except that a scheduled BPC Transaction may be cancelled before the Cancellation Cutoff set forth in the Payment Terms; if a scheduled BPC Transaction is cancelled before the Cancellation Cutoff, no Loan will be made and no Access Fee will be charged for that transaction, and any Reward Points credited for it will be reversed.

7. Access Fee; Repayment.

‍The fee for each BPC Transaction (the “Access Fee”) is a flat fee calculated as a percentage of the principal amount of the Loan, equal to your Reward Points rate (described in Section 8) plus 0.60% for each week (or portion of a week) in your scheduled repayment period. For example, if your account is on a weekly autopay cycle, your Access Fee rate is 2.1% plus 0.60%, or 2.7% of the principal amount; if your account is on a two-week autopay cycle, your Access Fee rate is 1.75% plus 1.20%, or 2.95% of the principal amount. Affiniti has discretion to set, and to change on a prospective basis, different Access Fee and Reward Points rates for your account; the rates that apply to your transaction are those disclosed in the Transaction Summary before You confirm it. The Access Fee is a flat, per transaction charge payable to Affiniti for access to and use of Bill Pay by Card for that BPC Transaction. You agree in writing to pay the Access Fee through your acceptance of these BPC Terms and the Transaction Summary, and the Access Fee will be debited from your Deposit Account upon disbursement of the Loan (before a vendor is paid). To the extent the Access Fee or any portion of it is deemed or determined under applicable law to constitute interest or a finance charge in respect of the Loan, You agree in writing to pay such interest or finance charge at the rate the Access Fee represents. The Access Fee will be disclosed to You in both percentage and dollar terms before You confirm the transaction. The principal amount of each Loan is due and payable in a single payment on the Repayment Date. The “Repayment Date” for each Loan is the next regularly scheduled autopay date applicable to your account following the Disbursement Date, as disclosed in the Transaction Summary, and will in no event be later than fourteen (14) days after the Disbursement Date; depending on your autopay cycle, the Repayment Date may occur sooner (on a weekly autopay cycle, within seven (7) days or fewer). You authorize Affiniti to debit the principal amount from your Deposit Account or any other deposit account the Company has connected with Affiniti  automatically on the Repayment Date. Debits under these BPC Terms may be made by ACH debit entries to your Deposit Account or to any other deposit account the Company maintains with or through Affiniti, and this authorization continues until all amounts owed under these BPC Terms are paid in full. If any debit is returned, rejected, or fails for any reason, Affiniti may re-initiate the debit one or more times; a failed or returned debit does not reduce or discharge the Company’s repayment obligation or the Guarantor’s obligation under the Guarantee, each of which continues to apply independently. The Access Fee is fixed at the time You confirm the transaction and does not increase or decrease based on the length of time the Loan is outstanding; You acknowledge that the Access Fee is the same whether the Loan is outstanding for your full scheduled repayment period or for a shorter period ending on an earlier Repayment Date. If any amount owing in respect of a Loan is not paid when due, the unpaid amount will bear interest from its due date until paid in full at a rate equal to the lesser of (i) eighteen percent (18%) per annum and (ii) the maximum rate permitted by applicable law. Except as provided in Section 6 for a scheduled BPC Transaction cancelled before the Cancellation Cutoff, Access Fees are non-refundable, even if the underlying vendor payment is returned, reversed, or disputed. If the Access Fee or any other amount charged under these BPC Terms is determined to exceed the maximum amount permitted by applicable law, that amount will be automatically reduced to the maximum permitted amount, and any excess previously collected will, at Affiniti’s option, be applied to the outstanding principal of your Loans or refunded to You. You will also receive Reward Points for each BPC Transaction as described in Section 8.

8. Reward Points; Partial Rebate of the Access Fee.

‍For each BPC Transaction, Affiniti will credit You with Reward Points equal in value to your Reward Points rate multiplied by the principal amount of the Loan. Your “Reward Points rate” is 2.1% if your account is on a weekly autopay cycle and 1.75% if your account is on a two-week autopay repayment cycle, unless Affiniti has set and disclosed a different rate for your account in the Transaction Summary. Reward Points are issued by Affiniti under its own rewards program. Reward Points are a partial rebate of the Access Fee You paid for that transaction and may reduce your net cost of Bill Pay by Card; they do not reduce, and are not a modification of, the principal of any Loan or the Access Fee agreed for any Loan. If You have an Affiniti business card, your Reward Points may be credited to the rewards program associated with your card and redeemed in accordance with the terms of that rewards program. The redemption options available to You will be described on the Affiniti platform. Reward Points are promotional in nature. They are not money, cash, deposits, or property, do not accrue interest, and have no cash or monetary value except to the extent Affiniti makes a particular redemption option available. Reward Points may be redeemed only for the redemption options that Affiniti, in its sole discretion, makes available from time to time, and Affiniti may add, modify, or discontinue redemption options prospectively at any time. Reward Points are not transferable and may not be sold, assigned, or pledged, and unredeemed Reward Points may be forfeited upon closure of your Affiniti platform account or as otherwise provided in the applicable rewards terms. If a BPC Transaction is cancelled, or a Vendor Payment is returned or reversed and not re-initiated, we may reverse the associated Reward Points. Affiniti may also withhold, reduce, or reverse Reward Points for any BPC Transaction, and may suspend your access to Bill Pay by Card, if Affiniti determines, in its sole discretion, that You have manipulated or attempted to manipulate the conditions used to determine your Access Fee rate or your Reward Points rate, including by enrolling in, changing, or disabling an autopay cycle on your Affiniti business card in connection with a BPC Transaction in order to obtain a rate or Reward Points for which You would not otherwise qualify. 

9. Enhanced Services.

‍The “Enhanced Services” for each BPC Transaction are: (a) the Reward Points described in Section 8; (b) priority customer support; (c) invoice storage, meaning Affiniti will store a copy of the Qualifying Invoice associated with the transaction and make it available to You through the platform for so long as your platform account remains open; and (d) waiver of wire transfer fees for the transaction if applicable, notwithstanding any wire fee that would otherwise apply under the Deposit Agreement fee schedule. The Enhanced Services are provided by Affiniti and are ancillary to, and not consideration for, the Access Fee. We may add to or modify the Enhanced Services from time to time.

10. Permitted Use; Representations.

‍You represent and warrant that each BPC Transaction will be used solely to pay a bona fide business obligation owed by the Company to a third-party vendor, supplier, or service provider for goods or services actually received or contracted for by the Company. You will not use Bill Pay by Card to transfer funds to yourself, to any owner or affiliate of the Company, to pay personal obligations, or for any purpose other than the payment of legitimate business vendor invoices. We reserve the right to require documentation (including invoices, purchase orders, or contracts) to verify the business purpose of any BPC Transaction, and to deny, reverse, or suspend any transaction. Any misuse of Bill Pay by Card in violation of this Section will constitute a material breach of these BPC Terms and the Platform Terms. Without limiting the foregoing, the following categories of payments are expressly prohibited and will not be processed: (i) payments related to gambling, gaming, or wagering activities; (ii) payments to cannabis-related businesses or for cannabis products; (iii) payments for personal, family, or household purposes; (iv) payments for the purchase or transfer of cash equivalents, including money orders, gift cards, prepaid cards, or cryptocurrency; (v) payments to or through third-party bill payment or accounts payable platforms; (vi) payments to any entity that is an affiliate, subsidiary, or related party of the Company or its owners; and (vii) any other category of payment that we may designate as prohibited from time to time. We may decline, reverse, or suspend any transaction that we determine, in our sole discretion, falls within a prohibited category, and any such transaction will constitute a violation of this Section 10. The restrictions in this Section 10 are in addition to, and not in place of, the Restricted Activities set forth in the Payment Terms. For each BPC Transaction, the representations and permitted use requirements of this Section 10 apply in place of the confirmation described in Section 2.4 of the Payment Terms. 

11. Additional Representations, Warranties, and Covenants.

‍You represent, warrant, and covenant to Affiniti, as of the date You confirm each BPC Transaction and again as of each Disbursement Date, that: (a) the Company is a corporation, limited liability company, partnership, or other registered business entity, duly organized, validly existing, and in good standing under the laws of its jurisdiction of organization, and is not a natural person or a sole proprietorship; (b) each Loan is a commercial transaction, the proceeds of each Loan will be used solely for business purposes, and no portion of any Loan will be used for personal, family, household, or agricultural purposes; (c) the Company is not a producer of agricultural commodities, livestock, or other farm products and is not engaged primarily in farming or other agricultural activity; (d) each Qualifying Invoice is genuine, reflects a bona fide, existing, and unpaid obligation of the Company for goods or services actually received or contracted for by the Company, has not been financed through any other source, and is not subject to any dispute of which You are aware; (e) all information furnished to Affiniti in connection with Bill Pay by Card is true, complete, and accurate in all material respects and does not omit any fact necessary to make it not misleading; (f) the individual accepting these BPC Terms is duly authorized to bind the Company, and these BPC Terms constitute the legal, valid, and binding obligation of the Company, enforceable against it in accordance with their terms; (g) the Company is solvent, is able to pay its debts as they come due, and is not subject to, and does not anticipate becoming subject to, any bankruptcy, receivership, or similar proceeding; (h) the execution, delivery, and performance of these BPC Terms do not violate the Company’s organizational documents, any law or order applicable to the Company, or any agreement binding on the Company; and (i) the Company is a sophisticated commercial party, has had the opportunity to consult legal counsel and other advisors of its choice, and is entering into each BPC Transaction voluntarily and for its independent business reasons.

12. Processing and Settlement; Your Responsibility for Payment Instructions.

‍IMPORTANT: ALTHOUGH THE PRODUCT IS NAMED BILL PAY BY CARD, VENDOR PAYMENTS ARE NOT CARD TRANSACTIONS AND ARE NOT PROCESSED THROUGH ANY CARD PAYMENT NETWORK. YOU WILL NOT HAVE ACCESS TO ANY CHARGEBACK, DISPUTE RESOLUTION, OR FRAUD PROTECTION RIGHTS THAT MAY BE AVAILABLE FOR CARD TRANSACTIONS UNDER CARD NETWORK RULES. ALL VENDOR PAYMENTS, WHETHER MADE BY ACH, WIRE, OR OTHER PAYMENT METHOD, ARE FINAL AND IRREVOCABLE ONCE INITIATED. IT IS YOUR SOLE AND ABSOLUTE RESPONSIBILITY TO ENSURE THAT ALL VENDOR AND PAYEE PAYMENT INFORMATION YOU PROVIDE, INCLUDING ACCOUNT AND ROUTING NUMBERS, IS ACCURATE AND COMPLETE. NEITHER AFFINITI NOR ANY PARTNER BANK, INCLUDING THE BANK HOLDING YOUR DEPOSIT ACCOUNT, IS RESPONSIBLE FOR ANY MISDIRECTED, MISAPPLIED, OR FAILED PAYMENT RESULTING FROM INFORMATION YOU PROVIDE, AND NO RETURNS OR REVERSALS WILL BE AVAILABLE. YOUR SOLE RECOURSE FOR ANY DISPUTE WITH A VENDOR OR PAYEE IS DIRECTLY AGAINST THAT VENDOR OR PAYEE. We are not responsible for any errors, delays, or failures in any payment network, at any receiving financial institution, or caused by any vendor or payee in connection with the processing of a Vendor Payment. You are solely responsible for safeguarding your account credentials, platform access, and any information required to initiate BPC Transactions, and You remain fully liable for all BPC Transactions initiated through your account (including repayment of each Loan and payment of each Access Fee), whether or not You authorized the transaction, and regardless of whether the transaction resulted from unauthorized access to your account, compromised credentials, or any other security breach, to the fullest extent permitted by applicable law.

13. Vendor Disputes.

‍Any dispute between You and a vendor or payee regarding goods, services, or the underlying obligation paid through Bill Pay by Card is solely between You and the vendor and relates only to the Vendor Payment portion of the transaction and your underlying relationship with the vendor, not to the Loan. We have no obligation to investigate, mediate, or resolve any such dispute, and no such dispute entitles You to a refund of any Access Fee. You agree to indemnify, defend, and hold harmless Affiniti and each partner bank from any claims, losses, or liabilities arising from or relating to any BPC Transaction or any dispute with a vendor or payee. Your obligation to repay each Loan and to pay each Access Fee is not conditioned on the performance of any vendor or payee or your satisfaction with any goods or services, and no vendor dispute will suspend, reduce, or discharge any amount You owe under these BPC Terms.

14. Commercial Loans; No Consumer Protections.

‍You acknowledge that BPC Transactions are commercial loans made to a business entity exclusively for business purposes, and are not subject to consumer protections under the Electronic Fund Transfer Act, the Truth in Lending Act, or any similar federal or state consumer protection law. Each Loan is an extension of commercial credit only, and nothing in these BPC Terms constitutes an offer or extension of consumer credit. Each Loan is made by Affiniti in reliance on state law provisions applicable to commercial, business-purpose credit. No Loan is a purchase of receivables, a merchant cash advance, or sales-based financing: the Company must repay Affiniti the full principal amount and the Access Fee regardless of the Company’s sales, revenue, or collections. Affiniti may sell, assign, or transfer any Loan, the Guarantee, and its rights under these BPC Terms, in whole or in part, including to a financing provider or other purchaser, without notice to or consent from You; any assignee or transferee will have the same rights to collect and enforce payment as Affiniti, and your obligations will not change.

15. Personal Guarantee of the Accepting User.

‍By initiating a BPC Transaction and accepting these BPC Terms, the individual who accepts these BPC Terms (the “Guarantor”) agrees to them both on behalf of the Company and in his or her individual, personal capacity, and no separate guarantee document is required. THE INDIVIDUAL ACCEPTING THESE BPC TERMS PERSONALLY, ABSOLUTELY, AND UNCONDITIONALLY GUARANTEES, IN HIS OR HER INDIVIDUAL CAPACITY, THE FULL AND PUNCTUAL PAYMENT OF EACH LOAN, EACH ACCESS FEE, AND ALL OTHER AMOUNTS OWED BY THE COMPANY UNDER THESE BPC TERMS IN RESPECT OF EACH BPC TRANSACTION THAT HE OR SHE INITIATES OR ACCEPTS (the “Guarantee”). The Guarantee is a guarantee of payment and not of collection: upon any failure of the Company to pay any amount when due, Affiniti may proceed directly against the Guarantor without first proceeding against the Company or exhausting any other remedy. The Guarantor’s liability is joint and several with the Company and is not released, reduced, or otherwise affected by any extension, renewal, modification, or compromise of any Loan, any release of or delay in proceeding against the Company, or any invalidity or unenforceability of the Company’s obligations, and the Guarantor waives presentment, demand, protest, notice of acceptance, notice of default, and all suretyship and similar defenses, in each case to the fullest extent permitted by applicable law. The Guarantee is irrevocable with respect to Loans made before Affiniti receives written notice of revocation. The Guarantee and the Loans are unsecured: neither any Loan nor the Guarantee is or will be secured by any lien on, security interest in, or assignment of (a) any real property, including any dwelling or personal residence of the Guarantor or any other individual; (b) any household furniture or other goods used for personal, family, or household purposes; or (c) any individual’s salary, wages, commissions, or other compensation for services. Affiniti will not take, and expressly disclaims, any such collateral.

16. State Availability; Minimum Loan Amounts.

‍Bill Pay by Card is available only where the Company’s principal place of business is located in a state in which Affiniti offers the feature, as shown on the platform. In the states listed below, the principal amount of each Loan must be at least the minimum shown, and Affiniti will not make, and You may not request, a Loan below that minimum: Alabama, $2,001; Kentucky, $15,001; Maryland, $15,001; Minnesota, $100,001; North Carolina, $25,001; Oregon, $50,001; South Carolina, $7,501; Virginia, $5,000. In Wisconsin, Bill Pay by Card is available only to Companies that are corporations or limited liability companies. Affiniti may update the list of available states and the applicable minimums from time to time; the requirements applicable to your transaction are those in effect and shown on the platform when You confirm it.

17. Events of Default; Remedies.

‍Each of the following is an “Event of Default”: (a) the Company fails to pay any principal, Access Fee, or other amount when due under these BPC Terms; (b) any representation or warranty made by the Company in these BPC Terms or in connection with any BPC Transaction proves to have been untrue or misleading in any material respect when made; (c) Loan proceeds are used for any purpose other than payment of the Qualifying Invoice identified in the applicable Transaction Summary; (d) the Company or the Guarantor becomes insolvent, makes an assignment for the benefit of creditors, or becomes the subject of any bankruptcy, receivership, or similar proceeding; or (e) the Guarantor repudiates or challenges the Guarantee, or revokes it while any Loan is outstanding. Upon the occurrence of an Event of Default, Affiniti may: declare all outstanding Loans, Access Fees, and other amounts immediately due and payable; suspend or terminate the Company’s access to Bill Pay by Card; debit any account of the Company maintained on or accessible through the Affiniti platform for amounts due; and exercise any other right or remedy available at law or in equity. The Company will reimburse Affiniti for its reasonable costs of collection, including reasonable attorneys’ fees, to the extent permitted by applicable law. Affiniti’s rights and remedies are cumulative, and no delay or failure to exercise any right is a waiver of it.

18. Suspension and Termination.

‍We may, in our sole discretion and at any time, without prior notice to You: (i) suspend or terminate Bill Pay by Card, in whole or in part, for any or all customers; (ii) suspend or terminate your access to Bill Pay by Card; or (iii) decline to process any BPC Transaction. Suspension or termination will not affect Loans already made, Vendor Payments already initiated, or your obligations under these BPC Terms with respect to them. Standard bill pay will remain available to You following any suspension or termination of Bill Pay by Card, subject to the Platform Terms.

19. Amendments.

‍We may amend these BPC Terms at any time by providing You with notice in accordance with the notice provisions of the Platform Terms or by posting updated BPC Terms on the Affiniti platform. Because You accept these BPC Terms for each BPC Transaction, the version of these BPC Terms You accept at the time of a transaction is the version that governs that transaction. Changes to the Access Fee rate or the Reward Points rate will be disclosed to You before You confirm any transaction to which they apply.

20. Governing Law; Disputes.

‍These BPC Terms are governed by the same governing law, arbitration, and dispute resolution provisions set forth in the Platform Terms.
