BILL PAY BY CARD TERMS

Effective Date: June 1, 2026

These Bill Pay by Card Terms (these “BPC Terms”) supplement and are incorporated into the Cardholder Agreement between You and Patriot National Bank, N.A. (the “Bank”) (the “Agreement”). The BPC Terms govern a feature operated by the Program Manager. Capitalized terms used but not defined in these BPC Terms have the meanings given to them in the Agreement. In the event of any conflict between these BPC Terms and the Agreement, these BPC Terms will control with respect to the Bill Pay by Card Feature.

1. Overview.

The Bill Pay by Card Feature is an optional feature that allows You to use available credit under your Account to pay vendors or other payees that do not accept card payments. If You elect to use this feature, the Bank will extend a short-term line of credit, the proceeds of which will be deposited into a deposit account owned by you and managed by the Program Manager. From that account, payment to the designated vendor or payee will be made either by: (i) an ACH credit transfer initiated by the Program Manager on your behalf; (ii) a vendor-initiated debit or pull from your Program Manager deposit account; or (iii) such other payment method as may be available through the Program Manager’s platform. The specific payment method will be disclosed to and confirmed by You at the time of transaction initiation or transaction scheduling. Regardless of the method used to pay the vendor, the amount of each Bill Pay by Card transaction, together with the applicable Bill Pay by Card Fee, will be consolidated onto your existing Account balance. The combined total of your Bill Pay by Card Balance and your Card Transaction balance may not exceed your Credit Limit at any time.

2. Eligibility.

To use the Bill Pay by Card Feature, your Account must be open and in Good Standing, and You must have sufficient available credit (after accounting for your existing Account balance) to cover the requested Bill Pay by Card transaction amount plus the applicable Bill Pay by Card Fee. We may determine or change the eligibility criteria for the Bill Pay by Card Feature at any time, in our sole discretion, without prior notice to You. The Bill Pay by Card Feature is an optional service that is not available to all cardholders. Eligibility for and continued access to the Bill Pay by Card Feature is determined by the Program Manager in its sole discretion based on factors that may include, but are not limited to, your creditworthiness, Account history, payment behavior, Account utilization, and such other risk-based criteria as we may establish from time to time. Eligibility determinations will not be based on any characteristic prohibited by applicable state or federal law. 

3. How to Initiate a Bill Pay by Card Transaction.

You must initiate each Bill Pay by Card transaction, for both immediate and scheduled transactions, through the Program Manager’s platform. You will be required to provide details of the vendor or payee and to match each payment to a verifiable vendor invoice. Depending on the payment method applicable to the transaction, You may also be required to provide the payee’s bank account information or to authorize the vendor to debit your Program Manager deposit account. You authorize the Bank to deposit the proceeds of each Bill Pay by Card transaction into your Program Manager deposit account and to facilitate payment to the designated vendor or payee using the applicable payment method. You will have the opportunity to review the transaction amount, the applicable Bill Pay by Card Fee, and the payment method before confirming each transaction.

3(a) Authorization to Deposit Loan Proceeds and Initiate Vendor Payments.

By initiating a Bill Pay by Card transaction, You authorize and direct the following: (i) the Bank to extend credit and deposit the loan proceeds into your deposit account maintained with and managed by the Program Manager (your “Program Manager Deposit Account”); (ii) the Program Manager, acting on your behalf and as your authorized agent, to initiate an ACH credit entry or other electronic funds transfer from your Program Manager Deposit Account to the account of the designated vendor or payee in the amount You specified at the time of transaction initiation; and (iii) the Program Manager to debit your Program Manager Deposit Account in the amount necessary to fund each such vendor payment, including any applicable fees or adjustments. This authorization remains in effect for each Bill Pay by Card transaction You initiate and may not be revoked after You have confirmed a transaction. You acknowledge that ACH credit entries, once initiated, are irrevocable and cannot be recalled, reversed, or stopped by You, the Bank, or the Program Manager except as may be permitted under the NACHA Operating Rules. If any vendor payment is returned, rejected, or fails to settle for any reason, the Program Manager may re-initiate the payment or credit the returned funds to your Program Manager Deposit Account, at our discretion. You represent that all vendor and payee payment information You provide is accurate and complete, and You assume all liability for any misdirected payment resulting from inaccurate information.

4. Permitted Use; Representations.

You represent and warrant that each Bill Pay by Card transaction will be used solely to pay a bona fide business obligation owed by the Company to a third-party vendor, supplier, or service provider for goods or services actually received or contracted for by the Company. You will not use the Bill Pay by Card Feature to transfer funds to yourself, to any owner or affiliate of the Company, to pay personal obligations, or for any purpose other than the payment of legitimate business vendor invoices. We reserve the right to require documentation (including invoices, purchase orders, or contracts) to verify the business purpose of any Bill Pay by Card transaction, and to deny, reverse, or suspend any transaction. Any misuse of the Bill Pay by Card Feature in violation of this Section will constitute a default under Section 25 of the Agreement. Without limiting the foregoing, the following categories of payments are expressly prohibited under the Bill Pay by Card Feature and will not be processed: (i) payments related to gambling, gaming, or wagering activities; (ii) payments to cannabis-related businesses or for cannabis products; (iii) payments for personal, family, or household purposes; (iv) payments for the purchase or transfer of cash equivalents, including wire transfers, money orders, gift cards, prepaid cards, or cryptocurrency; (v) payments to or through third-party bill payment or accounts payable platforms; (vi) payments to any entity that is an affiliate, subsidiary, or related party of the Company or its owners; and (vii) any other category of payment that we may designate as prohibited from time to time. We may decline, reverse, or suspend any transaction that we determine, in our sole discretion, falls within a prohibited category, and any such transaction will constitute a violation of this Section 4. 

5. Repayment.

Each Bill Pay by Card transaction, together with the applicable Bill Pay by Card Fee, will be added to your Account balance. Bill Pay by Card transactions and the associated Bill Pay by Card Fee will be reflected on your Billing Statement as part of your Account balance. Each Bill Pay by Card transaction has a “BPC Repayment Date” that corresponds to your then-current Account autopay billing cycle. For example, if your Account autopay cycle is weekly, your BPC Repayment Date will be the next weekly autopay date following the transaction; if your Account autopay cycle is semi-monthly, your BPC Repayment Date will be the next semi-monthly autopay date following the transaction. You are expected to pay the full outstanding Bill Pay by Card Balance by the applicable BPC Repayment Date. Although your Bill Pay by Card Balance is consolidated with your Card Transaction balance on your Account and may be carried forward as part of your overall Account balance, any Bill Pay by Card Balance that is not paid in full by the applicable BPC Repayment Date will be subject to the BPC Late Payment Fee and other consequences described in Section 6, which may include immediate suspension of all Account features (including your ability to make Card Transactions). You acknowledge that the Bill Pay by Card Feature involves a short-term extension of credit, and that carrying a Bill Pay by Card Balance past the BPC Repayment Date will result in the consequences described in Section 6. 

6. Consequences of Late Payment on Bill Pay by Card Balance.

If your Bill Pay by Card Balance is not paid in full by the applicable BPC Repayment Date, the following will apply: 

(a) BPC Late Payment Fee. A BPC Late Payment Fee equal to 5% of the outstanding Bill Pay by Card Balance as of the BPC Repayment Date will be assessed and added to your Account balance. We reserve the right to waive this fee at our sole discretion. 

(b) Account Suspension. Your access to the Bill Pay by Card Feature will be immediately suspended and may be permanently revoked at our sole discretion. No new Bill Pay by Card transactions will be processed while any Bill Pay by Card Balance remains outstanding past its BPC Repayment Date. We may also suspend your ability to use your card and spend on new card transactions. 

(c)  Cure Period. You will have a period of 10 calendar days following the applicable BPC Repayment Date (the “BPC Cure Period”) to repay the full outstanding Bill Pay by Card Balance (including all applicable Bill Pay by Card Fees and BPC Late Payment Fees) by alternative means acceptable to us. During the BPC Cure Period, the consequences described in Sections 6(a) through (b) above will remain in effect, but the failure will not yet constitute a default under Section 25 of the Agreement. 

(d) Escalation Upon Expiration of Cure Period. If the full outstanding Bill Pay by Card Balance is not repaid in full by the expiration of the BPC Cure Period, such failure will constitute a default under Section 25 of the Agreement. Upon the occurrence of such default: (i) the Penalty APR may be applied to your entire outstanding Account balance, including your Card Transaction balance; (ii) we may exercise any and all remedies available to us under the Agreement, including without limitation acceleration of the entire Account balance; and (iii) any unpaid Bill Pay by Card Balance, together with all applicable fees and accrued interest, will be included in your Account balance on your next Billing Statement and will accrue interest at the Penalty APR until paid in full. The rights and remedies described in this Section 6(d) are in addition to, and not in limitation of, any rights or remedies that became effective under Sections 6(a) through (c) above. Your outstanding Bill Pay by Card Balance (together with any BPC Late Payment Fee and any accrued Penalty APR charges) will be included in your total Account balance on your next Billing Statement. If you fail to make at least the minimum payment due on the Billing Statement by the statement due date, regular late fees will be charged and interest will accrue on your total Account balance (including your Card Transaction balance, your Bill Pay by Card Balance, and any BPC Late Payment Fees) in accordance with the terms of the Agreement. 

7. Processing and Settlement.

IMPORTANT: BILL PAY BY CARD TRANSACTIONS ARE NOT CARD TRANSACTIONS AND ARE NOT PROCESSED THROUGH ANY CARD PAYMENT NETWORK. YOU WILL NOT HAVE ACCESS TO ANY CHARGEBACK, DISPUTE RESOLUTION, OR FRAUD PROTECTION RIGHTS THAT MAY BE AVAILABLE FOR CARD TRANSACTIONS UNDER MASTERCARD NETWORK RULES. ALL PAYMENTS MADE THROUGH THE BILL PAY BY CARD FEATURE, WHETHER BY ACH, VENDOR-INITIATED DEBIT, OR OTHER PAYMENT METHOD, ARE FINAL AND IRREVOCABLE ONCE INITIATED. YOUR SOLE RECOURSE FOR ANY DISPUTE WITH A VENDOR OR PAYEE IS DIRECTLY AGAINST THAT VENDOR OR PAYEE. NEITHER THE BANK NOR THE PROGRAM MANAGER HAS ANY OBLIGATION TO INVESTIGATE, MEDIATE, REVERSE, OR RESOLVE ANY VENDOR DISPUTE, AND YOU MAY NOT WITHHOLD OR REDUCE REPAYMENT OF ANY BILL PAY BY CARD BALANCE ON THE BASIS OF A VENDOR DISPUTE. We are not responsible for any errors, delays, or failures in any payment network, at any receiving financial institution, or caused by any vendor or payee in connection with the processing of a vendor payment. If a vendor payment is returned, rejected, or otherwise fails to settle for any reason, You remain fully responsible for the Bill Pay by Card Balance and any associated Bill Pay by Card Fees. You acknowledge that once proceeds have been deposited into your Program Manager deposit account and a vendor payment has been initiated, the Bill Pay by Card Balance is owed regardless of whether the vendor ultimately receives or accepts the payment. You are solely responsible for safeguarding your account credentials, platform access, and any information required to initiate Bill Pay by Card transactions. You remain fully liable for all Bill Pay by Card Balances arising from transactions initiated through your Account, whether or not You authorized the transaction, and regardless of whether the transaction resulted from unauthorized access to your Account, compromised credentials, or any other security breach. Section 17 of the Agreement (Lost Cards and Unauthorized Transactions) does not apply to Bill Pay by Card transactions.

8. Effect on Account.

Bill Pay by Card transactions, once posted, will be consolidated onto your Account balance and will count against your Credit Limit. The Bill Pay by Card Balance is subject to its own BPC Repayment Date as set forth in Section 5. Although your Bill Pay by Card Balance is part of your overall Account balance and may be carried forward if not paid by the BPC Repayment Date, failure to pay the Bill Pay by Card Balance in full by the BPC Repayment Date will result in the BPC Late Payment Fee and other consequences set forth in Section 6. Both your Card Transaction balance and your Bill Pay by Card Balance are obligations of the Account for which You are liable.

9. Fees.

The Bill Pay by Card Fee for each transaction is calculated as a percentage of the transaction amount and is set forth in Section 7j of the Agreement. The Bill Pay by Card Fee rate equals your then-current Rewards rate for the Account plus an additional margin that varies by your Account autopay cycle frequency, as follows: (a) weekly autopay: Rewards rate plus 0.60%; (b) semi-monthly autopay: Rewards rate plus 1.20%. For example, if your Rewards rate is 2.10% and your autopay cycle is weekly, your Bill Pay by Card Fee rate would be 2.70% of the transaction amount. If we offer additional autopay cycle frequencies in the future, the applicable margin for each new cycle will be disclosed to You before the cycle becomes available. The applicable Bill Pay by Card Fee rate and the corresponding dollar amount will be disclosed to You before You confirm each Bill Pay by Card transaction. Bill Pay by Card Fees are non-refundable, even if the underlying vendor payment is returned, reversed, or disputed.

10. Suspension and Termination.

‍We may, in our sole discretion and at any time, without prior notice to You: (i) suspend or terminate the Bill Pay by Card Feature, in whole or in part, for any or all cardholders; (ii) decline any individual Bill Pay by Card transaction; (iii) change the eligibility requirements, transaction limits, fee amounts, or other terms applicable to the Bill Pay by Card Feature; or (iv) require additional documentation or verification before processing a Bill Pay by Card transaction. If we suspend or terminate the Bill Pay by Card Feature, your obligation to repay any outstanding Bill Pay by Card Balance in accordance with the terms of these BPC Terms and the Agreement will not be affected.

11. Vendor Disputes.

Any dispute between You and a vendor or payee regarding goods, services, or the underlying obligation paid through the Bill Pay by Card Feature is solely between You and the vendor. We have no obligation to investigate, mediate, or resolve any such dispute. You will not withhold, reduce, or delay repayment of any Bill Pay by Card Balance on the basis of a dispute with a vendor, and You agree to indemnify, defend, and hold harmless the Bank and the Program Manager from any claims, losses, or liabilities arising from or relating to any Bill Pay by Card transaction or any dispute with a vendor or payee.

12. No Consumer Protections.

You acknowledge that Bill Pay by Card transactions are commercial in nature and are not subject to consumer credit protections under the Truth in Lending Act, the Electronic Fund Transfer Act, the Credit CARD Act, or any similar federal or state consumer protection law. The billing dispute procedures set forth in Section 18 of the Agreement apply to Bill Pay by Card transactions only to the limited extent described in Section 18(e) of the Agreement. For the avoidance of doubt, the unauthorized transaction protections and liability limitations set forth in Section 17 of the Agreement do not apply to Bill Pay by Card transactions.

13. Right of Setoff.

To the extent You or the Company maintain any deposit accounts or other accounts at the Bank or with the Program Manager, You hereby grant the Bank and Program Manager the right to set off any outstanding Bill Pay by Card Balance (including any applicable Bill Pay by Card Fees, BPC Late Payment Fees, and other amounts owing under these BPC Terms) against any funds held in such accounts, without prior notice to You, to the fullest extent permitted by applicable law. This right of setoff is in addition to, and not in limitation of, any other rights or remedies available to the Bank and Program Manager under the Agreement or at law or in equity.

14. Amendments.

We may amend these BPC Terms at any time by providing You with notice in accordance with the notice provisions of the Agreement, or by posting updated BPC Terms on the Program Manager’s website. Your continued use of the Bill Pay by Card Feature after the effective date of any amendment constitutes your acceptance of the amended BPC Terms. If You do not agree to an amendment, You must stop using the Bill Pay by Card Feature, but your obligation to repay any outstanding Bill Pay by Card Balance will not be affected.

15. Governing Law.

These BPC Terms are governed by the same governing law, arbitration, and dispute resolution provisions set forth in the Agreement.
