An Addendum to the Affiniti Terms of Use

This Automated Account Management Terms (this "Addendum") is incorporated into and made a part of the Affiniti Terms of Use between you ("you" or "Company") and Affiniti Finance, Inc. ("Affiniti") governing use of your Affiniti Account. Capitalized terms used herein that are not otherwise defined have the meaning given in the Terms of Use. This Addendum governs the Automated Account Management Services (as defined below) available through your Affiniti Account. By accessing or using the Automated Account Management Services, you agree to be bound by this Addendum. If you do not agree, you may not use the Automated Account Management Services.
1. Definitions
1.1 Automated Account Management Services means the Sweep Services and Overdraft Management Service described in this Addendum.
1.2 Sponsor Bank has the meaning given to "Sponsor Bank" in the Terms of Use.
1.3 External Account means a bank account held at a financial institution other than the Sponsor Bank that you have linked to your Affiniti Account.
1.4 High Threshold means the maximum target balance you configure for your Affiniti Checking Account, above which a Sweep Out will be triggered.
1.5 Linked Account has the meaning given in the Terms of Use.
1.6 Low Threshold means the minimum target balance you configure for your Affiniti Checking Account, below which a Sweep In or Overdraft Management pull will be triggered.
1.7 NACHA Rules means the NACHA Operating Rules, Guidelines, and Bylaws, as amended from time to time.
1.8 Overdraft Management Service has the meaning given in Section 3.1.
1.9 Sweep In means a pull of funds to your Affiniti Checking Account triggered by a Low Threshold condition, executed via ACH from an External Account or as a Book Transfer from a Linked Affiniti Account, as specified in the applicable Sweep Rule.
1.10 Sweep Out means a push of funds from your Affiniti Checking Account triggered by a High Threshold condition, executed via ACH to an External Account or as a Book Transfer to a Linked Affiniti Account, as specified in the applicable Sweep Rule.
1.11 Sweep Rule means the parameters you configure for the Sweep Services, including High Threshold, Low Threshold, transfer amount, and priority order where multiple rules apply.
1.12 Sweep Services has the meaning given in Section 2.1.
1.13 Transfer means any Sweep In, Sweep Out, Book Transfer, on-demand transfers, scheduled transfers or Overdraft Management pull initiated under this Addendum.
1.14 Linked Affiniti Account means an Affiniti Checking Account held by the Company at the Sponsor Bank, other than the Affiniti Checking Account from which a Transfer originates, that has been designated by the Company in the Platform as a source or destination for Sweep Services.
1.15 Book Transfer means an internal transfer of funds between two Affiniti Checking Accounts of the Company held at the Sponsor Bank, executed as a ledger entry.
2. Sweep Services
2.1 Affiniti enables you to configure automated rules that trigger transfers of funds between your selected Affiniti Checking Account and one or more External Accounts or Linked Affiniti Accounts, based on account balance thresholds you set ("Sweep Services"). Transfers to or from an External Account are executed via ACH. Transfers to or from a Linked Affiniti Account are executed as Book Transfers. Sweep Services are initiated by Affiniti as your agent when your Affiniti Checking Account balance crosses the thresholds you configure.
2.2 Sweep In. When your designated Affiniti Checking Account balance falls below your configured Low Threshold, Affiniti will initiate a pull of the configured transfer amount to your designated Affiniti Checking Account from: (a) your designated External Account via ACH; or (b) your designated Linked Affiniti Account via Book Transfer, depending on which account type is specified in the applicable Sweep Rule.
2.3 Sweep Out. When your designated Affiniti Checking Account’s balance exceeds your configured High Threshold, Affiniti will initiate a push of the configured transfer amount from your designated Affiniti Checking Account to: (a) your designated External Account via ACH; or (b) your designated Linked Affiniti Account via Book Transfer, depending on which account type is specified in the applicable Sweep Rule.
2.4 Sweep Rules. You may configure one or more Sweep Rules through the Platform, and may designate either an External Account or a Linked Affiniti Account as the source or destination for each rule. Where you have configured multiple Sweep Rules that could apply to the same balance condition, Affiniti will apply them in the priority order you designate. You acknowledge and agree that Affiniti has no obligation to apply Sweep Rules in any order other than as configured by you and will have no liability for consequences resulting from the application of your Sweep Rules in the order you designated. Affiniti reserves the right, in its sole discretion, to reject, decline to execute, or suspend any Sweep Rule or combination of Sweep Rules that it determines are circular, contradictory, or otherwise likely to result in repeated, offsetting, or excessive entries, whether executed via ACH or as Book Transfers. Affiniti will have no liability for any consequences arising from its refusal to execute Sweep Rules it determines to be circular or contradictory.
2.5 Limitations on Sweep Execution. You acknowledge and agree that:
● Affiniti's ability to initiate a Sweep depends on the availability of the ACH network and the Sponsor Bank's processing systems, and Affiniti makes no guarantee that any Sweep will be executed at any specific time or at all;
● Affiniti may impose minimum transfer amounts, maximum transfer amounts, or frequency limits on Sweeps, which will be disclosed through the Platform;
● a Sweep will not be initiated if it would cause the initiating account to fall below the Sponsor Bank's applicable minimum balance requirements or Affiniti's operating parameters; ● Affiniti reserves the right to decline, delay, or suspend Sweep execution in its sole discretion, including where it determines that execution would create compliance risk or an excessive ACH return rate under the NACHA Rules; and
● Affiniti may apply a cooldown period between Sweep executions to prevent excessive ACH entries, the duration of which will be disclosed through the Platform.
2.6 No Guarantee of Target Balance. Affiniti does not guarantee that the Sweep Services will maintain your Affiniti Checking Account at or within any target balance range. ACH settlement timing, Sponsor Bank processing windows, and other factors outside Affiniti's control may result in your account balance deviating from your configured thresholds, including by becoming negative.
2.7 External Account Balance Risk. You acknowledge and agree that Sweep Outs and Overdraft Management pulls will reduce the available balance in your External Account at the time of execution. Affiniti has no visibility into your External Account or any obligations, scheduled payments, or minimum balance requirements you may have at your external financial institution. Affiniti will have no liability for any consequences resulting from a reduced balance in your External Account following a Transfer, including but not limited to returned items, overdraft fees, failed payments, vendor late fees, late payment penalties, or other charges imposed by your external financial institution or any third party. You are solely responsible for maintaining sufficient available funds in your External Account to satisfy both Transfers initiated under this Addendum and any other obligations at your external financial institution.
2.8 Book Transfers. When a Sweep Rule designates a Linked Affiniti Account as the source or destination for a Sweep In or Sweep Out, Affiniti will execute the Transfer as a Book Transfer. Book Transfers are internal ledger entries between two Affiniti Checking Accounts of the Company held at the Sponsor Bank and are not processed through the ACH network. Book Transfers are not subject to the NACHA Rules, ACH settlement timing, or ACH return rate limitations. Book Transfers are generally executed on the same business day but Affiniti does not guarantee execution at any particular time. You are responsible for maintaining sufficient available funds in any Linked Affiniti Account designated as a source for Sweep In transfers. Affiniti has no liability for any consequences arising from insufficient funds in a Linked Affiniti Account, including a failed Book Transfer or resulting account balance shortfall. Affiniti reserves the right to decline or suspend Book Transfers in its sole discretion, including where execution would create compliance risk or where the applicable Linked Affiniti Account is subject to a hold or restriction.
3. Overdraft Management
3.1 If you enable the Overdraft Management feature, Affiniti will, subject to the conditions in this Section, use automated monitoring to detect when your Affiniti Checking Account balance has fallen or is expected to fall below your designated Low Threshold or enter not-sufficient-funds (NSF) status, and will attempt to initiate a pull of funds from your designated External Account to your Affiniti Checking Account (the "Overdraft Management Service"). The Overdraft Management Service is an automated sweep detection and execution service only. It is not a guarantee against NSF events, transaction returns, or overdraft fees. Affiniti has no liability for any failure to detect a potential NSF condition, to trigger a pull, or to execute a pull in time to prevent a returned item or assessed fee.
3.2 Conditional Service. The Overdraft Management Service is conditional and not guaranteed. Affiniti's ability to execute an Overdraft Management pull is subject to: (a) the Sponsor Bank's approval and availability at the time of execution; (b) the availability of the ACH network and the Sponsor Bank's processing systems; (c) sufficient available funds in your designated External Account; and (d) Affiniti's risk and compliance policies in effect at the time. Affiniti makes no representation that it will be able to execute an Overdraft Management pull for any particular transaction.
3.3 Not a Credit Product. The Overdraft Management Service is not traditional bank overdraft protection, a line of credit, or any other extension of credit by Affiniti or the Sponsor Bank. Affiniti is not a lender. The Overdraft Management Service does not guarantee that any transaction will be paid or that any NSF event will be prevented. It is solely an automated sweep that, when triggered, attempts to move funds from your External Account to your Affiniti Checking Account. Whether that sweep succeeds, and whether it occurs before any specific transaction is processed, is subject to the conditions in Section 3.2. Affiniti is not liable for any transaction returned for insufficient funds, any NSF or overdraft fee assessed by the Sponsor Bank or any third party, or any other cost or consequence arising from a failure of the Overdraft Management Service to execute.
3.4 ACH Settlement Timing. ACH transactions, including Overdraft Management pulls, are subject to standard ACH settlement timing and are not instantaneous. Affiniti will use commercially reasonable efforts to initiate Overdraft Management pulls promptly, but makes no representation or warranty that any pull will settle before a given transaction is processed or returned by the Sponsor Bank. You acknowledge that an Overdraft Management pull initiated in response to a pending transaction may not prevent that transaction from being returned for insufficient funds.
3.5 You remain solely responsible for any transaction that is returned, reversed, or assessed fees by the Sponsor Bank or a third party as a result of insufficient funds in your Affiniti Checking Account, regardless of whether an Overdraft Management pull was attempted, initiated, or completed.
3.6 Manual NSF Monitoring. From time to time, Affiniti may, in its sole discretion and without any obligation to do so, perform manual monitoring of your Affiniti Checking Account balance for potential NSF conditions. Any such manual monitoring is provided on an as-available basis only and does not give rise to any obligation on the part of Affiniti to continue such monitoring or to take any action upon identifying a potential NSF condition. Affiniti has no liability for any failure to conduct manual monitoring, any failure to identify a potential NSF condition through manual monitoring, or any failure to act upon an identified condition. Manual monitoring does not supplement, modify, or extend the automated Overdraft Management Service described in this Section 3.
4. Company Authorization
4.1 By enabling any of the services described in this Addendum, you hereby authorize the Sponsor Bank to: (a) debit your External Account and credit your Affiniti Checking Account for ACH-based Sweep In and Overdraft Management pulls; (b) debit your Affiniti Checking Account and credit your External Account for ACH-based Sweep Out; (c) execute Book Transfers between your Affiniti Checking Account and any Linked Affiniti Account you have designated, in each case in the amounts and under the conditions described in this Addendum; and (d) execute ACH transactions and Book Transfers initiated by you under Section 5 at Affiniti's direction. The authorizations in clauses (a), (b) and (d) constitute pre-authorized debit and credit authorizations under the NACHA Rules. The authorization in clause (c) is a standing instruction for internal ledger transfers and is not subject to the NACHA Rules. All authorizations will remain in effect until you disable the applicable feature through the Platform or terminate this Addendum.
4.2 You acknowledge and agree that:
● this authorization covers both ACH pull (debit) and ACH push (credit) transactions to and from your External Account;
● you have legal authorization to access, authorize, and manage the External Account you have designated;
● the designated External Account is established and used for business purposes and not for personal, family, or household purposes; and
● you will maintain sufficient funds in your External Account to satisfy Sweep In and Overdraft Management pulls initiated under this Addendum.
4.3 You are solely responsible for maintaining and protecting the access credentials used to access your Affiniti Account and accept full responsibility for all Transfers initiated through your Affiniti Account. If a Transfer received by Affiniti purports to have been authorized through your Affiniti Account, it will be deemed effective and you will be obligated for the full amount, even where not authorized by you, provided Affiniti accepted the instruction in good faith.
4.4 Cancellation and Modification. You have the right to revoke your ACH authorization for Sweep Services or the Overdraft Management Service at any time by disabling the applicable feature through the Platform or by providing written notice to Affiniti at the contact address set forth in the Platform.
Revocation is effective for Transfers not yet submitted to the ACH network at the time Affiniti processes your revocation request. Any Transfer already submitted for processing at the time of revocation will proceed and remain subject to this Addendum. Affiniti will use commercially reasonable efforts to process revocation requests promptly but is not responsible for Transfers initiated prior to the effective time of revocation. Disabling a feature through the Platform constitutes revocation of your ACH authorization for future Transfers under that feature.
4.5 NACHA Rules apply to all ACH-based Transfers. Book Transfers are not processed through the ACH network and are not subject to the NACHA Rules. Affiniti may, in its sole discretion, suspend ACH-based Sweep Services or the Overdraft Management Service if continued execution would result in an excessive ACH return rate or otherwise create compliance risk under the NACHA Rules.
4.6 Authorized Users. You are responsible for all Transfers initiated, and all Sweep Rules and threshold configurations set, by any User you have authorized to access your Affiniti Account, including any administrator, employee, contractor, or accountant, and regardless of the number of administrator accounts associated with your Affiniti Account. If you grant a User access and that User configures Sweep Rules, modifies Overdraft Management settings, or otherwise takes any action under this Addendum, those actions are binding on you as the Company regardless of whether the User acted within the scope of the authority you intended to grant. This includes actions taken by an administrator who has exceeded their authority, who is acting adversely to the Company, or whose account credentials have been compromised or used without authorization. Affiniti has no obligation to investigate whether any Transfer or configuration change was authorized by you as between you and any User, to monitor your Affiniti Account for anomalous or suspicious activity, or to flag any transaction or configuration change as potentially unauthorized. Affiniti's good-faith execution of any instruction issued through your Affiniti Account constitutes full discharge of Affiniti's obligations with respect to that Transfer, and the Company bears all risk of loss resulting from any action taken by any User through your Affiniti Account, including unauthorized, fraudulent, or malicious actions. You are solely responsible for managing the access, permissions, and conduct of all Users on your Affiniti Account.
4.7 Irreversibility. Once a Transfer has been submitted for processing, Affiniti cannot guarantee its reversal or recovery. Affiniti has no obligation to reverse, recall, or recover any Transfer once ACH processing has commenced and will not be liable for any failure to do so. You acknowledge that you may not rely on Affiniti's ability to reverse any Transfer and that you bear the full risk of any Transfer initiated under this Addendum, including Transfers resulting from Sweep Rules you have configured.
5. On-Demand and Scheduled Transfers
5.1 In addition to automated sweep transfers governed by Section 2, you may initiate on-demand transfers or configure scheduled transfers between your Affiniti Checking Accounts or between an Affiniti Checking Account and an External Account through the Platform.
5.2 On-Demand Transfers. An on-demand transfer is a one-time transfer you initiate manually through the Platform. On-demand transfers between Affiniti Checking Accounts are processed as Book Transfers and will generally settle on the same Business Day if initiated before the applicable cutoff time. On-demand transfers to or from an External Account are processed as ACH transactions and are subject to the timelines and NACHA Rules described in Section 2 and the Company Authorization in Section 4.
5.3 Scheduled Transfers. A scheduled transfer is a transfer you configure to execute automatically on a fixed date or recurring schedule you define through the Platform, without regard to your account balance or any other condition. Scheduled transfers between Affiniti Checking Accounts are processed as Book Transfers. Scheduled transfers to or from an External Account are processed as ACH transactions subject to the NACHA Rules and the Company Authorization in Section 4.
5.4 You are solely responsible for ensuring that sufficient funds are available in the source account at the time each on-demand or scheduled transfer is processed. Affiniti may decline to process any transfer if the source account has insufficient funds and will have no liability for any consequences of a declined transfer.
5.5 You may cancel a scheduled transfer at any time prior to its scheduled processing date through the Platform. Affiniti cannot cancel or reverse a transfer once ACH processing has commenced. Once a Book Transfer has been submitted for processing, it is final.
6. Your Relationship with Affiniti and Sponsor Bank
6.1 Affiniti's duties under this Addendum are limited to providing software, data management, and website services and acting as your agent as described herein. Affiniti will not receive, hold, own, or transmit funds in connection with any Transfer. No provision of this Addendum shall be read or interpreted to authorize or require Affiniti to perform any action that would cause Affiniti to be subject to, or in violation of, any federal, state, or local law or regulation applicable to money transmitters, banks, or other financial institutions.
6.2 You hereby appoint Affiniti to act as your designated agent for purposes of this Addendum. You expressly authorize Affiniti to: (a) monitor your Affiniti Checking Account balance relative to your configured thresholds; (b) direct the Sponsor Bank to initiate Transfers when threshold conditions are met; (c) maintain records of your Sweep Rules, threshold configurations, and Transfer history; (d) take any other action that Affiniti or the Sponsor Bank deems necessary to provide the Automated Account Management Services and (e) initiate On-Demand Transfers and Scheduled Transfers at your direction under Section 5.
6.3 The Sponsor Bank will process Transfers as originating or receiving depository financial institution, as applicable, pursuant to the NACHA Rules and applicable law. You authorize the Sponsor Bank to follow the instructions of Affiniti with respect to Transfers initiated under this Addendum, and you agree that the Sponsor Bank may rely on such instructions without further investigation or authorization from you.
7. Error Handling and Failed Transfers
7.1 If a Transfer fails for any reason, including insufficient funds in your External Account, incorrect account information, or network unavailability, Affiniti may, but is not obligated to, notify you through the Platform. Affiniti is under no obligation to retry a failed Transfer. Affiniti may do so in its sole discretion but will have no liability for any consequences resulting from a failure to retry.
7.2 You are responsible for any fees imposed by your external financial institution in connection with returned ACH entries resulting from Transfers initiated under this Addendum. Affiniti will have no liability to you for such fees.
7.3 If there is a processing error in connection with a Transfer, you authorize Affiniti to correct the error by initiating a correcting Transfer. It is your responsibility to review all Transfers reflected in your Affiniti Account and to notify Affiniti promptly of any errors.
8. No Warranty; Limitation of Liability
8.1 THE AUTOMATED ACCOUNT MANAGEMENT SERVICES ARE PROVIDED "AS IS" AND WITHOUT ANY REPRESENTATION OR WARRANTY, WHETHER EXPRESS, IMPLIED, OR STATUTORY. AFFINITI AND THE SPONSOR BANK SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AFFINITI MAKES NO GUARANTEE THAT SWEEP SERVICES OR OVERDRAFT MANAGEMENT WILL EXECUTE AT ANY PARTICULAR TIME, MAINTAIN ANY
TARGET BALANCE, OR PREVENT YOUR AFFINITI CHECKING ACCOUNT FROM BECOMING OVERDRAWN.
8.2 IN NO EVENT SHALL AFFINITI OR THE SPONSOR BANK BE LIABLE FOR ANY SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF DATA OR LOSS OF BUSINESS, ARISING OUT OF OR IN CONNECTION WITH THE AUTOMATED ACCOUNT MANAGEMENT SERVICES OR THIS ADDENDUM, HOWEVER ARISING, INCLUDING NEGLIGENCE. ANY LIABILITY OF AFFINITI OR THE SPONSOR BANK TO YOU IS LIMITED TO THE AMOUNT OF DIRECT DAMAGES ACTUALLY INCURRED.
8.3 Without limiting the foregoing, Affiniti will not be liable to you for:
● any transaction that is returned, reversed, or assessed fees due to insufficient funds in your Affiniti Checking Account, regardless of whether a Sweep In or Overdraft Management pull was attempted;
● any fees charged by your external financial institution in connection with Transfers; ● any consequences arising from the application of your Sweep Rules in the order you designated; or
● delays or failures in Transfer execution resulting from ACH network unavailability, Sponsor Bank processing delays, or other factors outside Affiniti's control; or
● any vendor late fees, late payment penalties, overdraft charges at your external financial institution, or other third-party costs incurred as a result of a failed, delayed, or declined Transfer, regardless of cause.
8.4 Notwithstanding anything in this Section 8 to the contrary, Affiniti’s aggregate liability under this Addendum is subject to and shall not exceed the limitation of liability set forth in the Terms of Use. In the event of any conflict between this Section 8 and the limitation of liability provisions of the Terms of Use, the Terms of Use shall control.
9. Indemnification
You agree to indemnify and defend Affiniti, the Sponsor Bank, their respective affiliates, and each of their employees, contractors, vendors, and service providers from and against any losses, liabilities, damages, claims, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:
● your use of the Automated Account Management Services;
● your breach of any representation, warranty, or covenant in this Addendum;
● your failure to maintain sufficient funds in any designated External Account;
● any fees or charges imposed by your external financial institution resulting from Transfers initiated under this Addendum; or
● any conflict or inconsistency in your configured Sweep Rules that results in unintended Transfer behavior.
10. Governing Terms
10.1 Dispute Resolution. Any dispute arising under or in connection with this Addendum, including any dispute relating to the Automated Account Management Services, is subject to the arbitration provision and class action waiver set forth in Section 18 of the Terms of Use, which is incorporated herein by reference in its entirety. You acknowledge that disputes under this Addendum will be resolved by binding individual arbitration and that you waive any right to bring or participate in a class action relating to the Automated Account Management Services.
10.2 Controlling Terms. This Addendum supplements and is subject to the Terms of Use. Except as expressly provided in this Addendum, the Terms of Use govern all matters related to your use of the Automated Account Management Services. In the event of a conflict between this Addendum and the Terms of Use, the limitation of liability and dispute resolution provisions of the Terms of Use shall in all cases control.
10.3 Amendments. Affiniti may amend, modify, or supplement this Addendum at any time in its sole discretion by posting updated terms to the Platform or providing notice to you by email or through the Platform. Amendments are effective upon posting or notice, as applicable. Your continued use of the Payment Services following the effective date of any amendment constitutes your acceptance of the amended terms. If you do not agree to an amendment, you must discontinue use of the Payment Services prior to the effective date.
